Terms of Use

Effective:

At a glance

  • Use HENSHU to create and edit podcasts. Personal and commercial use allowed.
  • You own your content; you grant us a limited license to store and process it to run the service.
  • Free plan: 5 hours of audio storage. Standard: unlimited (fair use).
  • Pay via Stripe. Monthly plans are non-refundable for partial months; see details below.
  • Don't upload illegal/infringing content or misuse the service.

1. Who we are

This agreement is between you and 株式会社HENSHU (HENSHU Inc., "we", "us", "our"), a company registered in Tokyo, Japan.

2. Definitions

"Service" means the HENSHU podcast editing platform, sites, apps, and related services. "Content" means audio, images, text, and other materials you upload or create in the Service.

3. Eligibility

You must be at least 13 years old (or the minimum legal age in your jurisdiction) to use HENSHU. If you're using the service on behalf of an organization, you represent that you have authority to bind it.

4. Account

Keep your login details secure and let us know of any unauthorized use. You're responsible for activity on your account unless caused by our breach of these Terms.

5. Content ownership & license

  • You retain ownership of all Content.
  • You grant HENSHU Inc. a worldwide, non-exclusive, royalty-free license to host, store, process, transcode, and deliver your Content solely to operate the Service and provide features you choose to use. This license ends when your Content is deleted from the Service.
  • You represent that you have the necessary rights and consents (including from guests and other speakers) to upload and process the Content, and that your use complies with law.
  • We do not use your Content to train AI models, and we require our processors not to do so.

6. Storage limits & quota

  • Free plan: 5 hours of total audio upload quota.
  • Standard plan: unlimited storage (fair use). We may take steps to prevent abuse (e.g., excessive automated uploads).
  • When you reach your quota limit on Free, existing content remains accessible, but new uploads are blocked until you upgrade.
  • You can export your audio files anytime from your account, regardless of your plan.

7. Acceptable use

  • No illegal, infringing, or harmful content.
  • No harassment, threats, or abuse of others.
  • No reverse engineering, bypassing paywalls, or attempting to disrupt or overload the service.
  • No unauthorized scraping or use in competing datasets/products.
  • No excessive automated uploads, mass account creation, or use that materially degrades service for others. We may rate-limit, throttle, or suspend to protect the service.

Beta & AI-assisted features

Some features may be labeled beta or AI-assisted and could change, be unavailable, or produce errors. You're responsible for reviewing outputs before publishing.

8. Billing & price changes

  • Subscriptions renew automatically until canceled.
  • If a payment fails and isn't resolved after reasonable attempts, we may suspend access until payment is successful.
  • We'll provide prior notice of price changes, and changes apply on your next renewal.

9. Payments, renewals & refunds

  • We use Stripe to process payments; taxes may apply depending on your location.
  • Monthly: cancel anytime; access continues until the end of the billing period. We don't prorate partial months.
  • Annual: 14-day full refund if less than 1 hour of audio was processed by the Service; otherwise non-refundable after 14 days.

10. Suspension & termination

We may suspend or terminate your access if you materially breach these Terms. You may stop using HENSHU at any time.

If you delete your account, we will delete or anonymize your personal data within 30 days, unless we must retain it for legal reasons (e.g., tax, fraud prevention). See our Privacy Policy for details.

11. Intellectual property

HENSHU, our logo, and all related designs, text, graphics, and other content are trademarks and copyrighted works of HENSHU Inc.. You may not use them without our prior written permission.

12. Changes to the Service

We may modify, add, or remove features for performance, security, or legal reasons. If a change materially reduces core functionality for your current paid plan, we'll provide notice.

13. Service availability

We strive to keep HENSHU available and reliable, but we do not guarantee uninterrupted access or that the service will be error-free. We may perform maintenance or updates that temporarily affect availability, and the Service may be subject to rate limits.

14. Disclaimers & limitation of liability

To the maximum extent permitted by law, HENSHU is provided "as is" without warranties of any kind (including merchantability, fitness for a particular purpose, non-infringement). We don't guarantee uninterrupted or error-free operation.

To the maximum extent permitted by law, our total aggregate liability for all claims in any 12-month period is limited to the amounts you paid us for the service in that period, and we shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenues, data, or goodwill.

15. Indemnity

You will defend and indemnify HENSHU Inc. against third-party claims arising from your Content or your use of the Service in violation of these Terms or applicable law, including reasonable attorneys' fees.

17. Governing law & jurisdiction

These Terms are governed by the laws of Japan. The Tokyo District Court shall have exclusive jurisdiction for disputes. If we provide a Japanese translation, the English version controls in case of conflict. If any provision is unenforceable, the rest remain in effect.

18. Notices

We may provide notices by email to your registered address or in-app. You are responsible for keeping your contact information current.

19. Force majeure

We aren't responsible for delays or failures caused by events beyond our reasonable control, including outages, accidents, natural disasters, war, strikes, government actions, or internet/service-provider failures.

20. Assignment & survival

You may not assign these Terms without our consent. We may assign to an affiliate or in connection with a merger, acquisition, or sale of assets. Sections on IP, payments, disclaimers, limitation of liability, indemnity, and governing law survive termination.

21. Export compliance

You represent that you aren't located in, or a resident of, a sanctioned country and will comply with applicable export and sanctions laws.

22. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll notify you in-app or by email and update the effective date. Continued use after changes constitutes acceptance.
